GFI MESSAGE BOARD RULES These rules (Rules) set out the terms for your use of the GFI Forum (the Message Board), which apply to all users. Any submission of material by you to the Message Board means that you accept, and agree to abide by, all the terms and conditions of these Rules. [www.gfi.com] is a site operated by GFI Software Ltd. We are registered in England and Wales under company number 04126587 and we have our registered office at Centurion House, London Road, Staines-upon-Thames, Middlesex TW18 4AX. Our main trading address is Centurion House, London Road, Staines-upon-Thames, Middlesex TW18 4AX. MODERATION The Message Board is not moderated. We will not be responsible as author, editor or publisher of any content submitted to the Message Board (Contribution). We do not vouch for or warrant the accuracy, completeness or usefulness of any Contribution and we are not responsible for the content of any such Contribution. Each Contribution expresses the view of the author of that Contribution and is not necessarily the view of GFI Software Ltd. Save for death or personal injury caused by our negligence we expressly exclude our liability for any loss or damage arising from your use of the Message Board including the content of any Contribution. We reserve the right to promptly remove any Contribution, or to disable access to the Message Board, at our sole discretion. This will include but, may not be limited to circumstances where any Contribution we deem a Contribution (or your use or the Message Board) to be potentially objectionable, defamatory of any person, unlawful, in violation of any third party rights or otherwise in contravention of these Rules. USE OF THE MESSAGE BOARD BY MINORS The use of the Message Board is NOT permitted by any person under the age of 18. By accepting of these Rules, or otherwise accessing the Message Board, you warrant to us that you are over 18 years of age. REGISTRATION Before making a Contribution you must register with us by completing the registration form. Your name [ PLEASE INCLUDE ALL THE INFORMATION WHICH WILL BE TAKEN DURING THE REGISTRATION PROCESS AND WHICH WILL BE SUBSEQUENTLY AVAILABLE TO OTHER REGISTERED USERS E.G. USER PROFILE/NAME] will appear as part of your Contribution when published. LIABILITY FOR ALL CONTRIBUTIONS Any Contribution you make is your sole responsibility and you agree to indemnify and hold harmless GFI Software Ltd and ASP playground.net and their agents with respect to any claim based upon the content or transmission of your Contribution. CONTENT STANDARDS The Content Standards set out below apply to each part of a Contribution as well as to its whole. The Content Standards must be complied with in spirit as well as to the letter. GFI Software Ltd will determine, in its sole discretion, whether a Contribution breaches the Content Standards. A Contribution must: • Be accurate (where it states facts). • Be genuinely held (where it states opinions). • Comply with the law applicable in England and Wales and in any country from which it is posted. • Be relevant to the product being discussed in the particular forum. It is important that you keep your posts on-topic. A Contribution must not: • Be defamatory of any person. • Be knowingly false or inaccurate. • Be obscene, offensive, hateful, sexually oriented or inflammatory. • Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age. • Disclose the name, address, telephone, mobile or fax number, e-mail address or any other personal data in respect of any individual. • Infringe any copyright, database right, trade mark or any other intellectual property right of any other person. • Breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence. • Be in contempt of court. • Be likely to harass, upset, embarrass, alarm, annoy or invade the privacy of any other person. • Impersonate any person, or misrepresent your identity or affiliation with any person. • Give the impression that the Contribution emanates from GFI Software Ltd if this is not the case. • Advocate, promote, incite any third party to commit, or assist any unlawful or criminal act. • Contain a statement which you know or believe, or have reasonable grounds for believing, that members of the public to whom the statement is, or is to be, published are likely to understand as a direct or indirect encouragement or other inducement to the commission, preparation or instigation of acts of terrorism. • Contain any advertising or promote any services or web links to other sites including non profit organisations. • Contain any viruses or any other components with harmful or contaminating effects on the Message Board or any software or equipment connected to it. COPYRIGHT By submitting a Contribution to the Message Board, you agree to grant GFI Software Ltd a non-exclusive and irrevocable licence to use that Contribution. You will still own the copyright in your Contribution, however, GFI Software Ltd will have the right to freely use, edit, alter, reproduce, publish and/or distribute the material contained in your Contribution. This licence will be free of charge, perpetual and capable of sub-licence. GFI Software Ltd may exercise all copyright and publicity rights in the material contained in your Contribution in all jurisdictions, to their full extent and for the full period for which any such rights exist in that material. Additionally by submitting a Contribution to the Message Board, you agree to waive all moral rights as the author of such Contributions and all rights to object to derogatory treatment of the Contribution to which you may now or at any future time be entitled under the Copyright, Designs and Patents Act 1988 as amended from time to time and under all similar legislation from time to time in force anywhere in the world. Please also note that, in accordance with the Content Standards you must ensure that your Contribution does not infringe any copyright, database right or trade mark of any other person. By submitting your Contribution to the Message Board, you are warranting that you have the right to grant GFI Software Ltd the non-exclusive and irrevocable copyright licence described above. If you are not in a position to grant such a licence to GFI Software Ltd, you must not submit the Contribution to the Message Board. BREACH OF THESE RULES When we consider that a breach of the Content Standards [INSERT AS LINK TO CONTENT STANDARDS ABOVE] has occurred, we may at our discretion take such action as we deem appropriate. Failure to comply with these Rules constitutes a material breach of the terms of use on which you are permitted to use the Message Board, and may result in our taking all or any of the following actions: • Immediate, temporary or permanent withdrawal of your right to use the Message Board. • Immediate, temporary or permanent removal of any Contribution already posted on the Message Board. • Issue of a warning to you. • Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach. • Further legal action against you. • Disclosure of such information to law enforcement authorities as we reasonably feel is necessary or as required by law. We exclude our liability for all action we may take in response to breaches of these Rules. The actions described above are not limited, and we may take any other action we reasonably deem appropriate. COMPLAINTS If you wish to complain about any Contribution posted to the Message Board, please contact us at ‘forums@gfi.com’. We will review the Contribution and decide whether it complies with our Content Standards. We will in such manner as we may solely determine, deal with any Contribution which, in our opinion, violates our Content Standards as described above (see section "Breach of these Rules"). We will inform you of the outcome of our review within a reasonable time of receiving your complaint. CHANGES TO THESE RULES [We may revise these Rules at any time. You are expected to check this page from time to time to take notice of any changes we make, as they are legally binding on you.]
