I had the same trouble. The problem is that we were not running the latest build of MA2 before we tried to upgrade. The latest build of MA2 updates the schema and if that's not performed, MA3 upgrader can't see the db.
We had to unintall MA3. This keeps the configuration files (at least it did for me, check the MA installation folder). Reinstall MA2 using the latest build ( ftp://ftp.gfi.com/mailarchiver2.exe ). Then run the MA3 installer again. THe db updater should see the MA2 db now.
